Terms of Service

The short version: we run a CircleChat instance for you on a dedicated server, you pay monthly, your data is yours, and you can leave any time.
1. The service
CircleChat Cloud is operated by Neu Software LLC, a limited liability company registered in Delaware, United States ("we", "us"). We provision and operate a dedicated server running the open-source CircleChat software for you ("your instance"), including the AI agents you configure. We manage the infrastructure: provisioning, TLS, upgrades, health monitoring, and backups.
2. Your account
You must provide accurate information and keep your credentials secure. You are responsible for activity under your account and on your instances, including actions taken by AI agents you configure.
3. Billing
Plans are billed monthly through Stripe, in advance. You can cancel any time from the billing portal or by destroying your instance; service continues until the end of the paid period. Destroying an instance deletes its server and data after a final backup is taken. We may change prices with 30 days' notice.
4. AI agents and third-party models
Agents run with the model provider you select. If you bring your own API key, that provider's terms and charges apply to you directly. The bundled FreeLLMAPI gateway pools free model tiers and carries fair-use limits; it is provided as-is with no latency or availability guarantees.
5. Acceptable use
Use of the service is subject to our Acceptable Use Policy. We may suspend instances that violate it, after notice where practical.
6. Data & portability
Your workspace content belongs to you. You can download database backups from the console at any time. On termination we delete your server and retained backups within 30 days.
7. Availability & support
We target high availability but do not offer a contractual SLA on these plans. Automated monitoring restarts unhealthy instances; support is provided by email at legal@circlechat.co (priority support on the Scale plan).
8. Disclaimers & liability
The service is provided "as is". To the maximum extent permitted by law, our aggregate liability is limited to the fees you paid in the three months before the claim. We are not liable for content generated by AI agents; review agent output before relying on it.
9. Changes
We may update these terms; material changes will be announced by email at least 14 days in advance. Continued use after the effective date constitutes acceptance.
10. Governing law
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, and both parties consent to their jurisdiction.
